This Terms of Use Agreement (the “Agreement”) is an agreement between you and STTRUT Inc. (“STTRUT”, “we”, or “us”).
Before you may use our Website, in any way, you must read, agree with, and accept all of the terms and conditions in this Agreement, including the Privacy Policy.
By using the STTRUT Website in any way you accept and agree to be bound by the terms and conditions of this Agreement, as well as any other legal notices or conditions posted on the Website. IF YOU DO NOT ACCEPT THESE TERMS, STOP USING THE WEBSITE IMMEDIATELY.
Any new features added to the STTRUT website shall also be subject to this Agreement. STTRUT reserves the right and discretion to update, modify, add or delete provisions of this Agreement at any time without further notice or liability. In such a case, STTRUT will publish the changes to this Agreement and indicate the date on which the Agreement was revised at the bottom of this page. IF YOU DISAGREE WITH ANY CHANGES TO THIS AGREEMENT, DO NOT CONTINUE TO USE THE WEBSITE.
Limited License
We grant you a limited, revocable, and non-exclusive license to access and make personal use of the STTRUT Website. You may not frame/ use framing techniques to enclose the Website or any portion thereof.
- The limited license does not include the right to:
- Modify or download the Website or its content (except for caching);
- Use of the Website or its content other than for personal use;
- Create any derivative work based upon the Website or its content;
- Use any meta tags or any other “hidden text” utilizing our name or our brand without our express written consent; or
- Use software robots, spiders, crawlers or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our infrastructure.
- Any unauthorized use by you of the Website terminates the limited license set forth herein without prejudice to any other remedy provided by applicable law. STTRUT may take any legal action we deem necessary and implement any technical remedies in our sole and absolute discretion, in order to prevent the violation of this provision and to enforce this Agreement.
You may not use the STTRUT website for any illegal or unauthorized purpose, including but not limited to, violating copyright laws, as well as the laws of Canada and the Province of Ontario.
Intellectual Property
STTRUT exclusively owns all rights, titles and interests related to the STTRUT Website, including and not limited to the rights on patent laws, copyright, trade secret and trademark laws, confidentiality procedures and contractual provisions and all the other exclusive and special rights including: renewals, applications for extensions of time and the re-establishment of them.
All content intended for the Website and linked to the structure, design and layout of the Website, as well as the information and other content (texts, illustrations, styles, photos, images, design features, functionalities, logos, graphics, button icons, data compilations etc.) on the Website are the exclusive property of STTRUT and are protected by Canadian and worldwide copyright laws and intellectual property laws.
Any full or partial reproductions of the Website or of an element protected by the intellectual property of STTRUT is strictly prohibited. You may not modify, copy, distribute, send, release, represent, reproduce, publish, license, transfer or sell any information, software, product or service obtained through the Website, or create derivate works from the above-mentioned elements. Without the specific written authorization from STTRUT, no part of the Website may be reproduced, published, copied, stored, posted, transmitted, broadcast or distributed in any manner whatsoever except in the legal limits. Unauthorized use is punishable by law.
Nothing in this Agreement grants you a right or license to use any trademarks, copyrights, or design rights, or other intellectual property rights controlled by us or any other third party except as expressly outlined in this Agreement.
Copyright Dispute Policy
STTRUT has adopted the following policy toward copyright infringement in accordance with the Copyright Act of Canada.
Indemnification
You agree to indemnify, defend, and hold us, our subsidiaries, affiliates, partners, officers, directors, agents, and employees, harmless from any claim, demand, loss, damages, or costs, including reasonable lawyer’s fees, made by any third party due to or arising out of your (or anyone using your account’s) use of the STTRUT Services, including the Website, or from your breach of the terms of this Agreement, or your violation of any law or rights of a third party.
You also agree to indemnify us, our subsidiaries, affiliates, partners, officers, directors, agents, and employees, for any loss, damages, or costs, including reasonable lawyer’s fees, resulting from your use of software robots, spiders, crawlers, or similar data gathering or extraction tools, or any other action you take that imposes an unreasonable burden or load on our infrastructure.
Privacy Policy
Our privacy policy which can be accessed here is incorporated into and forms part of this Agreement. You acknowledge and agree that your use of STTRUT Services is governed by our Privacy Policy.
Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Ontario with respect to any claim or dispute arising out of or in connection with the STTRUT Services and this Agreement.
Arbitration
Any dispute relating in any way to your use of the STTRUT Website shall be submitted to confidential arbitration in Ontario, except that, to the extent that you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in Ontario, and you consent to the exclusive jurisdiction and venue of such courts. The arbitration this Agreement shall be conducted under the rules then prevailing of the Provincial Court of Ontario. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.
General
STTRUT reserves the right, in our complete discretion and at any time to change this Agreement and our Privacy Policy by posting the changes on the Website. Any changes are effective immediately upon posting to the Website. Your continued use of the Website following any such changes constitutes your agreement to all such terms and conditions. We may, with or without prior notice, terminate any of the rights granted in this Agreement. You shall comply with termination (or any other notice) immediately by ceasing all use of the Website.
Inurement
If any provision of this Agreement is determined to be unenforceable or invalid for any reason whatsoever, that unenforceability or invalidity shall not affect the enforceability or validity of the remaining portions of this Agreement and such unenforceable or invalid provisions or portion thereof shall be severed from the remainder of this Agreement.
Entire Agreement
You agree that this Agreement and all incorporated terms and conditions may be automatically assigned by STTRUT in our sole discretion. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
Headings
Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
Non-Waiver
Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
Terms of Use Updates
STTRUT reserves the right to amend and update this Terms of Use Agreement by posting a new Terms of Use Agreement at any time without notice or liability to you or any other person/entity.
The collection, use and disclosure of your information will be subject to the most recent version of the Terms of Use Agreement. STTRUT will update the Terms of Use Agreement modification date below if we choose to update our Agreement.
